1. Agreement to these Terms
These Terms of Use ("Terms") govern access to and use of smarteduai.life (the "Site") operated by Smart Edu AI Inc., a British Columbia corporation with business address at 525 West Broadway, Suite 110, Vancouver, BC V5Z 1E6, Canada (Business Number 918374026 RC0001). By accessing or using the Site, you agree to these Terms. If you do not agree, discontinue use immediately.
These Terms apply to browsing, downloading publicly available materials and submitting inquiries through the contact form. Paid consulting services require separate written agreements that prevail over conflicting Site statements for those engagements.
2. About Smart Edu AI and the .life domain
Smart Edu AI Inc. is a learning-analytics edtech studio providing professional consulting in learning analytics, adaptive and personalised learning models, knowledge tracing, automated feedback support, inclusive-learning AI and responsible-AI assurance for education organizations.
.life branding clarification: The top-level domain ".life" is used for brand identity and memorable web addressing only. It does not indicate that Smart Edu AI offers wellness programmes, life coaching, self-help content, lifestyle products, personal-development courses or health-related services. We are not a ".life brand" in the wellness-industry sense. Visitors seeking coaching, mindfulness training, fitness guidance or similar services should not interpret our domain name as an offer of those services.
We are not a university, college, accredited awarding institution, vocational school, diploma mill or course marketplace. We do not grant diplomas, degrees, professional licences, micro-credentials conferring academic credit or certificates implying formal qualification. Site content describes consulting capabilities for institutional clients — not a catalogue of enrolment-based courses for individual learners.
3. Informational content — not professional advice
Articles, service descriptions, case summaries, FAQs, metrics and downloadable materials on the Site are for general informational purposes directed at education professionals, administrators and edtech teams. They do not constitute legal, medical, psychological, financial, tax, immigration or other regulated professional advice.
Case studies may be anonymized, aggregated or illustrative. Metrics cited (e.g., retention changes, timelines, budgets in CAD) reflect past client contexts and are not promises of future performance for your organization. You should consult qualified professionals before making decisions based solely on Site content.
References to PIPEDA, BC FIPPA, TCPS2 or responsible-AI practices are educational summaries. They are not substitutes for institutional legal counsel or privacy officer determinations.
4. No guarantees or warranties of outcomes
Smart Edu AI makes no warranties or guarantees regarding:
- Grades, exam pass rates, licensure outcomes or academic credit
- Student retention, completion or engagement levels
- Employment, salary, promotion or income of any person
- Procurement approval, regulatory clearance or vendor selection
- Accuracy, completeness or fitness of algorithmic models for any particular cohort
Educational and organizational results depend on data quality, implementation fidelity, instructor practice, learner effort, institutional policy and factors outside our control. Analytics inform — never replace — educator judgement. Models can be wrong; confidence intervals and limitations are documented in deliverables, not guaranteed away on the Site.
5. Consulting services and contracts
Engagement of Smart Edu AI for paid services requires a mutually executed proposal, statement of work or master services agreement. Those documents define scope, fees in Canadian dollars, payment terms, intellectual property, confidentiality, data processing, indemnities and dispute resolution. Where conflict exists between these Terms and a signed client contract, the contract controls for that engagement.
Submitting the contact form or receiving a proposal does not create a binding contract until both parties execute agreed documentation. We reserve the right to decline engagements outside our expertise or inconsistent with responsible-AI principles.
6. Acceptable use
You agree not to:
- Use the Site unlawfully or in violation of applicable Canadian or foreign regulations
- Attempt unauthorized access to systems, accounts, APIs or non-public areas
- Introduce malware, scraping bots, credential-stuffing tools or denial-of-service traffic
- Harvest personal information of others without valid consent
- Submit false, misleading or spam inquiries (including honeypot field completion)
- Misrepresent affiliation with Smart Edu AI Inc. or imply endorsement without written permission
- Reproduce, republish, frame or commercially exploit Site content without prior written consent, except as permitted by fair dealing under the Copyright Act (Canada)
- Use the Site to promote unrelated wellness coaching, credential scams or guaranteed-income schemes
We may suspend or restrict access, block IP ranges or cooperate with authorities for conduct threatening Site integrity, our personnel or third-party rights.
7. Intellectual property
The Site's design, text, graphics, logos, page compilation and selection are owned by Smart Edu AI Inc. or licensed to us and protected by copyright, trademark and unfair-competition laws. "Smart Edu AI" and associated marks are proprietary. You may view and print pages for personal, non-commercial reference within your organization.
Any other use — including republication in training materials, commercial handbooks or competing service listings — requires prior written consent. Client deliverables created under paid engagements are addressed in project contracts. Pre-existing methodologies, templates, model architectures and general learning-science frameworks remain our background intellectual property unless expressly assigned in writing.
8. User submissions
Information you submit through the contact form or email must be accurate to the best of your knowledge. You represent that you have authority to share any institutional details provided. You grant us a limited licence to use submission content solely to respond and evaluate potential engagements. Do not submit learner-identifiable records, passwords or highly sensitive personal information through the unsecured form; use secure channels agreed during onboarding.
9. Third-party links, fonts and tools
The Site may reference government resources, academic standards, LMS vendors or open-source tools. We do not endorse third-party products and are not responsible for their availability, accuracy or privacy practices. Google Fonts may load from Google servers; Google's terms may apply to font delivery logs. Your use of third-party resources is at your own risk.
10. Privacy and cookies
Collection and use of personal information through the Site is described in our Privacy Policy, including PIPEDA practices and BC FIPPA guidance for public-sector clients. Cookie and local storage practices — including the smarteduai_consent key managed in /js/main.js — are described in the Cookie Policy. By using the Site you acknowledge those policies.
11. Disclaimer of warranties
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE AND ACCURACY. WE DO NOT WARRANT UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE OPERATION, OR THAT DEFECTS WILL BE CORRECTED.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMART EDU AI INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY OR REPUTATION, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR SITE-RELATED CLAIMS SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100) OR THE MINIMUM AMOUNT PERMITTED BY LAW, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED.
Nothing in these Terms limits liability for gross negligence, wilful misconduct or non-waivable consumer rights under applicable law.
13. Indemnity
You agree to indemnify and hold harmless Smart Edu AI Inc. from claims, damages, losses, liabilities and expenses (including reasonable legal fees on a solicitor-client basis) arising from your misuse of the Site, violation of these Terms, infringement of third-party rights, or submission of unlawful content — except to the extent caused by our gross negligence or wilful misconduct.
14. Governing law and dispute resolution
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles that would apply another jurisdiction's laws.
You attorn to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, for disputes arising from these Terms or Site use, subject to mandatory consumer protections and small-claims procedures that cannot be contracted away in your province of residence.
Before commencing formal proceedings, parties agree to attempt good-faith resolution by written notice to [email protected] describing the dispute and requested remedy.
15. International visitors
The Site is operated from Canada and directed primarily at Canadian education organizations. If you access the Site from outside Canada, you are responsible for compliance with local laws. Personal information transfers are described in the Privacy Policy.
16. Changes to these Terms
We may revise these Terms by posting an updated version with a new effective date. Continued use after changes constitutes acceptance of the revised Terms. Material changes may be noted on the homepage or legal hub.
17. Severability and waiver
If any provision is held invalid or unenforceable by a court of competent jurisdiction in British Columbia, the remaining provisions remain in full force. Failure to enforce any provision is not a waiver of future enforcement rights.
18. Entire agreement for Site use
These Terms, together with the Privacy Policy and Cookie Policy incorporated by reference, constitute the entire agreement regarding Site use. No oral modification is binding unless confirmed in writing by Smart Edu AI Inc.
